Exoopus Terms of Use

These terms establish the legal framework for accessing and using the enterprise BPO management and distributed workforce coordination platform.

Service Object

Exoopus provides a specialized software solution for business process outsourcing (BPO), including the integration of external contractors, monitoring operational KPIs, and optimizing budgets allocated to complex projects. The platform is intended for multinational corporations and entities managing globally distributed teams.

Access to the platform's features is based on a subscription, according to the plan selected by the client. Each plan includes a specific set of modules, usage limits, and levels of technical support, detailed in the attached commercial offer.

Rights and Obligations of the Parties

The client is obligated to provide accurate and complete information during the registration process, maintain the confidentiality of login credentials, and immediately notify of any unauthorized use of the account.

Exoopus undertakes to maintain platform availability at a level of 99.5% over a calendar year, excluding scheduled maintenance periods or force majeure situations. Any interruption exceeding this threshold can be reported to the support team at info@exoopus.com.

  • The client may not use the platform for illegal activities or activities that infringe on the rights of third parties.
  • Exoopus is not responsible for content uploaded by users but may remove materials that violate applicable law.
  • The client's operational data is stored in accordance with the GDPR, and access to it is restricted to authorized personnel.

Liability and Its Limitations

Exoopus is not liable for indirect, incidental, or consequential damages, including loss of profit, business interruption, or data loss, caused by the use or inability to use the platform.

Exoopus's total liability for any claim related to the service is limited to the value of the subscription paid by the client in the 12 months preceding the event that caused the damage.

Force Majeure

Neither party shall be considered responsible for the non-fulfillment of contractual obligations if this is due to force majeure events, such as natural disasters, wars, epidemics, or acts of authorities, for the duration and to the extent that these affect the performance of obligations.

Termination and Modification of Terms

The client may unilaterally terminate the contract at any time, with a 30-day notice, by written notification to info@exoopus.com. Upon termination, the client's data is made available for export in a standard format within 15 business days.

Exoopus reserves the right to modify these terms, with prior notice to the client at least 30 days before the changes take effect. If the client does not accept the new terms, they may terminate the contract without penalty within the notice period.

  • Non-payment of the subscription on time may lead to suspension of access to the platform 15 days after the due date.
  • In case of a serious breach of the terms of use, Exoopus may suspend or terminate access immediately, without notice.
  • After contract termination, the client's data is securely deleted within 90 days, except for legal retention obligations.
